Constitution and Bylaws
 
CONSTITUTION
Article I - Name
This organization shall be known as the “A-1 Chapter” of the Brewery Collectibles Club of America (BCCA).  We may also refer to ourselves as the “A-1 Chapter” of the American Breweriana Association (ABA), the National Association Breweriana Advertising (NABA), or any other national or regional hobby club that our membership chooses to be affiliated with.  Additionally, for marketing purposes, we may simply refer to ourselves as the “A-1 Brewery Collectibles Club.”
 
Article II – Purpose
The purpose of the organization shall be to aid and encourage the study of brewing history, the collection and trading of beer cans and/or breweriana, and the promotion of fellowship among collectors of said items. 
 
Article III – Members
The Members of the organization shall consist of those persons who are members in good standing in accordance with the bylaws.
 
Article IV – Meetings of Members
Section 1:  A meeting of the members shall take place at minimum 4 times per year.  The day, time, and place shall be selected by the members. 
Section 2:  Additional meetings of the members shall take place at the discretion of the members.
Section 3:  Each member in good standing in attendance at the meeting shall be entitled to one vote on each matter submitted to a vote of the members.
 
Article V – Officers
Section 1:  The officers of the organization shall consist of a President, Vice President, Treasurer, Secretary, and Newsletter Editor.  Any officer, other than President, may hold up to two officer positions if so elected by the members.
Section 2:  The officers shall be elected by a vote of the members in attendance at the meeting held in October of each year.  Their terms shall commence as of the day of that meeting and shall continue until their respective successors have been elected the following year.  If the October meeting is canceled due to circumstances beyond the control of the officers, they will set a date for another meeting to be held as soon as practical in order to conduct  the election.
Section 3:  Vacancies arising in any office shall be filled by a vote of the members in attendance at the next meeting of the members after the vacancy arises.  Prior to such meeting, the duties of the vacant office may be assumed on an interim basis by an existing officer, as appointed by the President.  Should the office of President be vacated, the Vice President shall assume the duties of President until an election by the members can be held.
 
Article VI – Headquarters
The headquarters of the organization shall be located in the State of Arizona.
 
 
Article VII – Bylaws
The membership may adopt and from time to time alter, amend, or repeal, bylaws containing any provision for the regulation and management of the organization which is not directly inconsistent with the articles of this constitution.  Such bylaws shall have the same force and effect as the provisions of this constitution. 
 
Article VIII – Amendments
Section 1:  This constitution may be amended by a majority vote of the members who vote thereon at any regular meeting of the members. 
Section 2:  Amendments to this constitution may be proposed by any member of the organization.  Proposed amendments must be submitted in writing to the members at least thirty (30) days prior to the meeting of members at which the proposed amendment is to be put to a vote. 
 
 
BYLAWS

  1. Dues
1.01:  The dues for members shall be ten dollars ($10.00) per year initially, and shall be subject to change annually by a vote of the members. 
1.02:  Dues for each calendar year shall be due and payable as of January 1 each year and shall be considered delinquent as of March 1.   Members who become delinquent in payment of their dues shall no longer be deemed to be a member in good standing, and shall not be entitled to vote on matters submitted to the club membership or to receive benefits normally extended to club members. 
1.03 The dues of both new members and reinstated members who join in the fourth quarter of any year shall satisfy the member’s dues obligation in full for the next calendar year. 
 
2.    Members
2.01:  Subject to the provisions of the constitution and bylaws, membership in the organization is open to anyone who has an interest in brewing history or the collection of beer cans and/or breweriana.  The type of collection and display shall be at the sole discretion of the member. 
2.02:  Members shall be encouraged to become members of the BCCA, the ABA, and NABA. 
2.03:  Members are expected to treat each other with respect, and to be fair and honest with each other and with the public when selling or trading beer cans and/or breweriana.
2.04:  The privilege of membership in this organization may be suspended or declined to any person whose membership in the BCCA, the ABA or NABA has likewise been suspended or declined by an action of said organization’s board of directors. 
 
3.    Meetings of Members
3.01:  Non-members shall be allowed at meetings at the consent of the members.  Non-members do not have voting privileges at meetings. 
3.02:  Fees charged to members and guests at meetings shall be at the discretion of the members. 
3.03:  Written notice of a meeting must be provided to members a minimum of ten (10) days prior to the meeting. 
3.04:  Club matters requiring prompt attention by members outside of a meeting may be submitted to a vote by email if deemed necessary by a majority of club Officers.  Such matters shall be clearly described and sent to all members in good standing at least ten (10) days prior to the deadline set for voting, and at least thirty (30) days prior if such such matters involve changes to the club Constitution or Bylaws.  Votes received by email, or by telephone for those members not having access to email, shall be tallied by the club Secretary and the results reported to members promptly after the close of voting.
 
4.    Duties of Officers
4.01:  The President shall preside at all meetings.  He/she shall appoint all committees with the aid of other officers and/or members at any given time.  The President shall be the correspondent with the offices of the BCCA, ABA and NABA.  The President is also responsible for finding suitable venues for member meetings and buy/sell/trade shows, and for making necessary arrangements with the owners or managers of such venues. 
4.02:  The Vice President shall assist the President in the execution of his duties, and in the absence of the President, perform all the duties of that officer.  The Vice President shall also be in charge of any raffles at the meetings. 
4.03:  The Treasurer shall be custodian of all funds of the organization.  He/she shall submit financial reports of income, expenditures, and cash balance as requested by the officers or members, but not less frequently than quarterly.  He/she shall pay out only such funds as directed by the consent of the officers.  The Treasurer must be a minimum of eighteen (18) years old.  The Treasurer shall also be in charge of the roster of members. 
4.04:  The Secretary shall keep minutes of all the meetings of the organization as required by the constitution and bylaws.  The Secretary shall distribute the meeting minutes to the officers as soon as practical after each meeting. 
4.05:  The Newsletter Editor shall produce and distribute a member newsletter in advance of each meeting, and shall update the club website and pertinent social media sites for the benefit of members and to promote the club’s buy/sell/trade shows with other breweriana collectors.  A summary of the minutes received from the Secretary shall appear in the newsletter for the benefit of members who could not attend the last club meeting.. 
4.06:  A minimum of two (2) officers must be members of the BCCA.
4.07:  No officer shall receive a salary for any service performed for the organization. 
4.08: All expenditures of chapter funds that exceed $50.00 must be approved in advance by a majority of the officers, voting in person or by e-mail.
4.09: All officers are prohibited from financially benefitting from club funds. They are expressly prohibited from selling their beer cans, breweriana and related items to the club for personal gain or profit. If it is deemed that a special circumstance exists, a majority of the officers voting in person or by e-mail is required for approval of an exception.
4.10: No officer shall personally gain or profit from beer cans, breweriana and related items that are offered for sale, donated to or otherwise made available to the club by individuals or organizations. No special privilege or advantage should be attached to any office, especially the President, whose name is prominently listed in the club’s newsletter, on its website and Facebook page, in national and local organization rosters and other printed or electronic materials.
 
5.    Publications
5.01:  The club’s newsletter shall be made available to members by email only.  Those members without email shall be provided with a notice of the next club meeting either by text message or U.S. mail.
5.02:  A membership roster shall be provided to the members, upon request, for their personal use only as members of the organization.
 
6.    Buying and Selling
6.01:  The buying and selling of any beer can or other collectible items of breweriana shall be allowed at any meeting of the organization. 
6.02:  The manner in which a member obtains his/her beer cans and/or other breweriana shall be at his/her discretion. 
 
 
7.    Amendments
7.01:  Any of the bylaws may be amended by majority vote of the members present at any regular meeting of the members.  Written notice of such action must be provided to the members at least thirty (30) days prior to the meeting and such notice must specify the article on which to be acted.

This is a true and correct statement of the constitution and bylaws of the A-1 Chapter of the Brewery Collectibles Club of America as adopted by a vote of the membership on October 1, 2022.
